STANDARD TERMS AND CONDITIONS OF SALE FOR OPTICAL FILTERS
PP Optics Standard Terms and Conditions of Sale

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THE TERMS GOVERNING PRODUCT SALES ARE LIMITED TO THOSE CONTAINED HEREIN. ANY ADDITIONAL OR DIFFERENT TERMS IN ANY FORM PROVIDED BY YOU (“CUSTOMER”) ARE DEEMED MATERIAL ALTERATIONS AND ARE HEREBY EXPRESSLY REJECTED.
BY PLACING AN ORDER VIA TELEPHONE, EMAIL, WEBSITE, OR OTHER MEANS, CUSTOMER AGREES TO BE BOUND BY THESE TERMS UNLESS A SEPARATELY SIGNED AGREEMENT GOVERNS THE TRANSACTION.

I. AGREEMENT SCOPE

1.1 These Terms constitute a legally binding agreement (“Agreement”) between Customer and (PP Optics) (“Seller”).
1.2 Seller reserves the right to modify these Terms at any time. The version published on Seller’s website at the time of order submission shall govern that order.
1.3 Additional terms in Customer’s purchase orders are void. Prior course of dealing shall not interpret this Agreement.

II. GOVERNING LAW & DISPUTE RESOLUTION

2.1 This Agreement and product sales shall be governed by the laws of Peoples Republic of China, excluding conflict of laws principles.
2.2 Any arbitration or litigation shall be conducted exclusively in Shanghai, China. Customer consents to such jurisdiction and waives venue objections.
2.3 Claims (except non-payment) must be filed within one (1) year. Seller’s remedies are cumulative and not exclusive.

III. ORDERS & PAYMENT

3.1 Orders become binding only upon Seller’s written confirmation.
3.2 Delinquent payments shall bear all collection costs (including legal fees).
3.3 Seller may require advance payment or modify terms based on credit risk assessment.

IV. DELIVERY & RISK TRANSFER

4.1 Risk Transfer Rules:Customer-designated carrier/non-preferred carrier: FOB Shanghai China (risk passes upon delivery to carrier).Seller-selected carrier: FOB Shanghai,China(risk passes upon delivery to destination).

4.2 Seller is not liable for delays caused by force majeure (e.g., natural disasters, war, government acts).

VI. LIMITATION OF LIABILITY

6.1 Seller’s total liability shall not exceed the lesser of:Amount paid by Customer for the disputed product(s); orRMB 50,000 (or equivalent in other currencies).

6.2 Seller shall not be liable for indirect damages (including lost profits, data loss, business interruption), whether foreseeable or not.

VII. EXPORT COMPLIANCE

7.1 Customer shall comply with Export Administration Regulations and international sanctions, prohibiting resale to embargoed countries/entities.
7.2 Customer is responsible for obtaining export licenses and assumes liability for violations.

VIII. GENERAL PROVISIONS

8.1 Price Adjustments: Seller may adjust prices due to market fluctuations, material cost changes, or pricing errors.
8.2 Assignment & Subcontracting: Seller may assign receivables or subcontract manufacturing. Customer may not assign rights without Seller’s written consent.
8.3 Severability: Invalidity of any provision shall not affect remaining terms.
